The Fine Print That Made a Central London Hotel Development Possible
Under Pressure, Ahead of the Game: Delivering a Complex Hotel Acquisition Without Compromising Future Development Rights.
12th October 2026
We recently acted for a global real estate investment and asset management company on the acquisition of an unused hotel in Central London. The client focuses on creating long-term value through strategic acquisitions and active asset management.
The property included a ground-floor restaurant and was situated in a busy residential area. The client intended to undertake substantial development works following completion, making the ability to carry out those works a key consideration throughout the acquisition.
The transaction had to proceed within a very tight timeframe. Before the acquisition, the seller was to grant a long leasehold interest in the ground floor, with the seller becoming the tenant. Our client would therefore acquire the property subject to a lease accommodating the restaurant’s occupation and operations.
The Challenges and Solutions
A tight transaction timetable
The acquisition and ground-floor lease arrangements needed to be negotiated together. With limited time available, we prioritised the provisions that mattered most and kept both elements progressing towards completion.
Securing development rights
We protected the confidentiality of the client’s commercially sensitive development plans while securing the lease rights needed to deliver them. Through strategic negotiation, precise drafting and carefully managed communications, we safeguarded the client’s future development flexibility without revealing its intentions to the seller or compromising the transaction.
Accommodating the restaurant’s operations
The lease needed to give the tenant confidence that it could operate its business while preserving the client’s ability to undertake substantial works. Our amendments had to balance these requirements and achieve terms acceptable to both parties.
Coordinating three sets of solicitors
The tenant was separately represented, meaning three sets of solicitors were involved. We managed the transaction as a whole, coordinating negotiations and ensuring that the acquisition documents and lease arrangements remained consistent.
The Outcome
Targeted Lease Amendments
We negotiated carefully targeted lease amendments to secure the rights required for the client’s proposed development works.
Protecting Development Plans
Confidentiality was maintained throughout negotiations, protecting the client’s development strategy and commercial interests.
Balancing Competing Interests
Each amendment was structured to protect the client while accommodating the tenant’s operational requirements and remaining commercially acceptable.
Successful Acquisition
The transaction completed successfully, securing the required development rights while preserving the confidentiality of the plans and accommodating the ground-floor tenant.
We secured the client’s development rights through targeted lease negotiations, protecting confidential plans while balancing the tenant’s operational needs and achieving a successful acquisition.
