Central London Property Acquisition: Securing a £5 Million-Plus Investment
How our commercial property team navigated tenancy risks and tight deadlines to negotiate a reduced price and secure contractual protections on a significant Central London acquisition.
12th October 2026
We recently acted for a global real estate investment and asset management company on its acquisition of a mixed-use property in Central London for more than £5 million. The client focuses on creating long-term value through strategic acquisitions and active asset management.
The property comprised two ground-floor retail units with three storeys of residential accommodation above. Understanding the existing tenancy arrangements was essential to assessing the investment and protecting the client’s commercial interests.
However, the acquisition was far from straightforward. With incomplete lease documentation, inconsistencies in tenancy information and uncertainty surrounding occupation and rental payments, the transaction required focused legal due diligence, strategic negotiation and practical commercial advice, all within a tight timeframe.
The Challenges and Solutions
Tight Transaction Timetable
The client needed to complete the acquisition within a limited timeframe, leaving little opportunity to resolve every outstanding enquiry. We prioritised the most significant issues, assessed their potential implications and focused negotiations on securing appropriate protection without delaying the transaction.
Incomplete Lease Information
The documentation supplied by the seller contained gaps and inconsistencies concerning lease terms and registrations at HM Land Registry. We investigated these discrepancies and identified the potential risks associated with acquiring the property without a complete and reliable record of its tenancy arrangements.
Uncertainty Over Occupation and Rental Payments
Payments were being made by an occupier who was not identified as the tenant under the relevant documentation. We examined the available information to assess the relationship between the named tenant, the occupier and the payment arrangements, highlighting the implications for the client’s investment.
Strategic Due Diligence
Rather than allowing the missing information to stall the acquisition, we prepared a consolidated schedule of outstanding matters, clearly explaining the risks and potential consequences. This provided the client with a strong commercial negotiating position and helped secure a reduction in the purchase price
Targeted Contractual Warranties
Where information remained unavailable, we negotiated specific warranties to address the identified gaps. These protections helped manage the risks associated with the incomplete tenancy information and gave the client greater confidence in proceeding with the purchase.
Our approach went beyond identifying legal issues. By translating complex tenancy uncertainties into clear commercial risks, we helped the client understand the property’s investment position, negotiate more favourable terms and make an informed decision within the required timeframe

Successful Completion
Completed the acquisition, securing the Central London investment for the client.
